Agreement to Terms

These Terms of Service (“Terms”) govern your use of the HOPA3 platform operated by Healthcare Quality Consulting, LLC (“HQC,” “we,” “our,” or “us”). By accessing or using our service, you agree to be bound by these Terms.

1. Description of Service

HOPA3 is a software-as-a-service (SaaS) platform designed to support healthcare agencies in quality improvement through visualization and analysis of Medicare’s publicly reported Star Ratings data.

Note: The platform exclusively uses publicly available data and does not process any Protected Health Information (PHI).

2. User Account and Access

Account Creation

You must provide accurate and complete information when creating your account and maintain the security of your login credentials.

Authorized Use

Access is limited to authorized personnel within your healthcare agency. You may not share login credentials or allow unauthorized access to the platform.

3. Acceptable Use Policy

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to other agency data or systems.
  • Interfere with or disrupt the service or servers connected to the service.
  • Upload or transmit any malicious code, viruses, or harmful content.
  • Reverse engineer, decompile, or attempt to extract source code.

4. Data Ownership and Privacy

Your Data

You retain ownership of any action plans, analyses, and content you create within the platform. We maintain strict data segregation between agencies.

Public Data

The platform uses publicly available CMS Star Ratings data, which remains public information.

5. Subscription and Payment

  • Subscription Plans: HOPA3 offers tiered subscription plans (e.g., monthly or annual) based on the number of users and features required.
  • Billing Cycle: Subscriptions are billed in advance on a recurring basis (monthly or annually) according to the selected plan.
  • Payment Method: All payments must be made via accepted electronic payment methods as displayed during checkout.
  • Cancellations: You may cancel your subscription at any time. Cancellations will take effect at the end of the current billing cycle, and no partial refunds will be issued.
  • Upgrades/Downgrades: Any changes to your subscription plan will be prorated and applied in the next billing cycle.

6. Service Availability

While we strive to maintain high service availability, we do not guarantee uninterrupted access. We may perform scheduled maintenance and updates that could temporarily affect service availability.

7. Limitation of Liability

To the maximum extent permitted by law:

  • HQC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
  • HQC’s total liability for any claim related to these Terms or your use of the platform will not exceed the amount paid by you for the service during the 12 months preceding the claim.
  • The platform is provided on an “as-is” and “as-available” basis, without warranties of any kind, express or implied.

8. Termination

Either party may terminate this agreement with appropriate notice. Upon termination, your access to the service will be discontinued, and your data will be handled according to our data retention policy.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the platform or via email with reasonable advance notice.
